Banasik Woźniak & Partners law firm supported SUEZ International in the acquisition of biogas companies.
Our law firm advised SUEZ International on the strategic acquisition of a controlling stake in ARA Cursus-a holding company of the ARA Group, which specialises in the construction of biogas plants and the energetic use of biomass.
A group of lawyers consisting of Agnieszka Ferek, Justyna Kieza, Anna Belowska-Sroka, Przemysław Bartoszek and Bartłomiej Kielasiński supported SUEZ in every aspect of the transaction. The scope of activities included the preparation of comprehensive due diligence reports, analysis of the acquired companies, as well as the preparation and negotiation of share sale agreements and shareholder agreement.
– The completed transaction will allow the international SUEZ group to enter the Polish biogas market, complementing its energy portfolio in Europe with Poland. Our client is one of the key players involved in Poland’s energy transition, which aligns perfectly with our law firm’s green mission and commitment. In this project, we had the opportunity to demonstrate the full range of our specialist competences, which include energy, investment processes and labour law,’ says Małgorzata Banasik, co-founder and managing partner of BWW law firm.
The whole process was successful thanks to the commitment and experience of our team in the areas of energy, real estate, commercial law and M&A. In addition, our employment law team, led by attorney Aleksandra Wozniak, ensured that the transaction complied with employment law regulations.
The ARA Group comprises a number of companies active in the ongoing operation of biogas plants and the development of biogas projects in Poland.
